
Terms of Service
These Terms of Service ("Agreement") govern the commercial relationship between LIFE & Medicine (L&M) and its partners, clients, and suppliers. By engaging our sourcing and logistics services, you agree to be bound by the protocols defined herein, which align with international pharmaceutical trade laws.
1. Scope of Services
L&M acts as a specialized intermediary for the procurement of Active Pharmaceutical Ingredients (APIs), Excipients, and related machinery. Our obligations are limited to:
- Identifying qualified manufacturers (CMOs).
- Facilitating regulatory documentation (DMF, CoA) transfer.
- Coordinating logistics and customs clearance support.
2. Regulatory Compliance & Quality
The Client acknowledges that identifying the suitability of an API for a specific formulation is their sole responsibility. L&M ensures that sourced materials originate from facilities holding valid certifications (GMP, ISO, FDA) as represented by the manufacturer.
Quality Disputes: Any claim regarding product quality must be substantiated by an independent third-party laboratory analysis within 30 days of receipt.
3. Limitation of Liability
In no event shall LIFE & Medicine or its suppliers be liable for any indirect, consequential, or punitive damages arising out of the use or inability to use the materials. Our maximum liability is strictly limited to the service fees rendered for the specific transaction in dispute.
- L&M is not liable for manufacturing delays caused by Force Majeure events.
- L&M is not liable for losses incurred due to changes in import/export regulations after contract execution.
4. Intellectual Property & Confidentiality
All technical data exchanged, including but not limited to DMFs, synthetic routes, and client lists, are deemed confidential. Parties agree to maintain strict confidentiality for a period of 5 years post-engagement. Unauthorized reproduction or commercialization of shared IP is strictly prohibited.
Legal Jurisdiction
This Agreement implies a contract of good faith. Any unresolved disputes shall be subject to arbitration in Dhaka, Bangladesh, in accordance with the Bangladesh Arbitration Act 2001.
